I have the same problem, first in Ubuntu 11.10 and now 12.04. On earlier versions this problem did not exist (at least <=10.10, I don't remember did I have 11.04 installed).

However, that's not the case currently in Oneiric under Unity. When the computer starts shutting down before I close the lid, the computer suspends instead, then finishes shutting down after I wake it up from suspend. (Don't know if this is the right package.)
