I've been very quiet through this feed, because I have relatively
well-known opinions that don't need repeated. That being said, I feel the
need to point out that, actually

The IRS requires that an 501(c)3 corporation dissolving must transfer its
assets to another 501(c)3 organization or dispose of them in another exempt
status (
http://www.nolo.com/legal-encyclopedia/how-notify-the-irs-if-you-decide-terminate-your-nonprofit.html
).

If you do sufficient research toward the formation of the organization,
you'll see that the requirements for financial transfer to other exempt
organizations are the main reasons that LOPSA is chartered as a 501(c)3, as
opposed to a 501(c)6 - USENIX (of which SAGE was a part) is a 501(c)3. Had
LOPSA formed under a 501(c)6 and USENIX transferred resources (funds,
members, etc), the taxable implications to USENIX would be very dire.

Anyway, the funds don't dissolve - they need to be transferred in an exempt
way away from the terminating charity.
