Becca- One agenda item. Proposal brought by Devin to remove Torrie Fischer from
treasurer.
Devin - As per request by the membership in attendance at the meeting last week
there was unanimous, one ommited, support for the removal of Torrie from the
position. A lot of us don't feel it is in SYNHAK's best interest to not be in
charge of our money.
Justin - Let's start with the grounds for removal in the bylaws.
Devin - Removal of Officers Section 7.4: In the green folder, dated unknown,
assuming they are the most recent. *Fill in Section 7.4*
No consensus on the cards, was brought up as discussion item, some for it and
some against it. No decision on this at all, but was to relieve the treasurer
of the issues of being the only person handling money.
James - Definition of a champion
Devin - Reads from bylaws Section 7.7.1 Champions
The Champions of this Corporation shall be the general managers of the
corporation and shall supervise,
direct, and control the Corporation's activities, affairs, and lesser officers.
Additionally, Champions shall
supervise and direct each other in a manner consistent with this corporation's
purpose.
Each Champion shall receive a full vote on the board of directors
Becca - Go by to Torrie saying I want to do less. What date is that?
Steve - April 29
Devin - Definition of Chief Financial Officer Section 7.7.3
The office of Treasurer shall be responsible for managing financial assets and
liabilities and collecting
membership dues, donations, and other revenue.
All I wanted to add.
Justin - What duties were expected to perform.
Chris - Has anyone heard anything of any bill or financial obligation that has
gone unpaid? To my knowledge they are all paid.
Devin - Not off hand
Chris - Informed me that she has continued to pay bills. If we have any
financial obligation that is unmet I would like to hear about it.
Mike - I would add to that besides the statment of intent do we have any
evidence of her becoming less involved of her duties.
Devin - On hiatus I forwarded a water bill to bizops?
Justin - I saw it
Devin - Beginning of the month. I never heard anything back.
Andy - Still a lot of confusion about dues, and what people owe.
Devin - Hard to say since spiff isn't working right now. I know someone has
asked about their account to see where they are
Mike - That was me, and said that I was fine. Besides not being officially
being past due due to not being given notice.
Devin - I've been paying because I don't know if I have any credit.
Andy - I do know where I"m at because I have stuff that needs reimbursed for
the lights and she said she'd get back to me on that.
Alex - Said go to spiff and reset my password, I have 2 accounts and no
information. Still haven't heard been over a month since heard.
Philip - Holding membership dues for May, June, July because of the senior
discount proposal. I'm current as of April. I'm going to be paying 3 months at
a time. If a member has not paid their dues, and they're aware of it, not only
should that be transparent to everybody, and should take themselves out of
contributing.
Craig - I haven't paid my dues, because I don't know how much I do, and I have
a pile of receipts that should be member credit.
Justin - Asked about expenses for build out budget for the next few months,
setup 3 month payment, asked what was going on and I was told I would be
getting not reimbursed. The check sent for membership dues was never received
though it said it was cashed. I am still waiting to hear about what I am owed
or owe. Bank got my money back.
Becca - Still haven't consensed on family membership
Mike - Stalled when one of the items was questioned and it was split.
Becca- Supposed to be consensed on this week and then I will pay my dues.
Devin - Receipt fiasco, during the build out within reason thing for the space
we would be reimbursed, and it might take some time. Might come back as cash or
membership credit verbal agreement with multiple parties. I was flat out told
no you spent too much so I was giving my receipts to other people so they could
keep the money themselves. 77$ receipt given to Chris Neer to redeem and he got
the money no problem for him.
Chris Neer - Drain out front, electrical boxed, and conduit. Winter time in the
flood.
Becca - Do you know how much you were denied.
Devin - $77 given to Chris N. The point of I don't like you so no but others
were fine, How do you run a corporation like that.
Philip - Hasn't been denied as we proceed here with office of the treasurer
that a lot of the details about the financial structure haven't been addressed,
and the treasurer being the only person authorized to spend money. We need to
have some adjustment to who has access, and an established procedure to
reimburse money. Minor amount compared to others, we need to repay these people
immediately. Personal money is what built synhak as it stands now, synhak needs
to spend synhak money instead of others.
Mike - Reimbursement should be within reason, instead of solid gold/brass door
knobs, we need a budget for that. I don't know if we really have a solid
working budget, but I've heard mention but don't know if it's been addressed. I
really strongly suggest that we work out a functional budget that we can go by.
This is how much money we have budgeted for everything compared to how much we
bring in. Not blaming Torrie specifically for this might be everyone but needs
addressed.
Justin - Going off what you were saying, I do believe we have a lot of issues
in the operation of synhak specifically financially. How much is coming in and
out and how much we are expecting. Other organization I work with it's a full 1
page report that breaks down all of the particulars of the money spent and
budget. Expected outcome/income. Mentioned a couple times but as it became
strained and communications brought down I just gave up. To answer question to
who usually has that responsibility the CFO would propose an outlook and the
board would approve it.
Mike - Has there ever been a proposal from any treasurer.
Justin - I'm not aware. It's always been cloak and dagger. Misinformation
resulted in problems that fester.
James - General terminology the duties of the treasurer keep track of records
and financial transactions, and do them when necessary. It is no need to
interject his/her opinion what they should be doing but up to the board and
their job to just execute them. Who actually has access to the money? It should
be more than 1 person?
Devin - Just Torrie the treasurer.
Chris - I theoretically would have access to the money. If we do vote on this
and it passes is anyone going to step up as treasurer?
Devin raises hand.
Alex - Goes to the discussion of professionalism, her title is CFO, any type of
Chief you have to be professional in the sense of communication but gets vulgar
and uses profound language. And is unacceptable as a figure head of the company.
Steve - 1st
Justin - Pretty much reflected that she was in charge of all the decisions of
the money, in early march. That came as a real strong alert to me that it is
not what the bylaws say, you are just the executer.
Becca- Any comments on the anonymous complaints?
Philip - I have a problem with anonymous complaints, it carries no weight? For
these to be valid we need to know who they are. Not comfortable with anonymous
bullshit. I don't think they're of any value,
Andy - some are coming to me as a board member.
Justin - I have to partially agree with Philip as far a carrying weight, I feel
it doesn't carry as much weight. Could be just one person, but I feel they
still have some sort of bearing.
Becca - Board members, do the anonymous members carry weight?
Craig - Do you recognize the names from those emails as members?
Steve - Yes
Matt - If I may whether they hold weight doesn't matter it's been said.
Chris - I want to say that I think I have been one of the easiest people to
contact at synhak, email and number on the wiki. No one has ever brought half
of the complaints to me. I can't take them seriously if they weren't brought up
through the proper channels.
Andy - I brought my complaints to the champions and got only a response from
Devin. There are some who get intimidated by other members and we need a way to
have anonymous complaints.
Justin - I see you channels to supervise/direct, I think it's been agreed that
it's not the role of the champions to get into the issues like that.
Chris - Does the word supervise not mean they make sure they do their work?
Justin - Yes
Chris - How is it not the role of the champions?
Justin - We had a proposal pushed forward that champions were not going to get
into interpersonal issues.
Chris - That for conflict resolution, not about officers.
Becca - have you received any?
Devin - Yes in verbal and writing. I feel that Andy's champion complaint was
handled properly was just told to get over it and let them live their lives. I
don't feel that things are being handled properly, and people have been sending
me proposals, last meeting I didn't call for her removal, I said if the
membership wanted it. And that's what I did, I'm just passing on what the
membership has said.
Becca - If the issue is on anonymity, these aren't my comment, but I have
voiced my complaints with sever members, especially the April Fools Joke, as
well as reimbursement along the lines of what was said in Steve's statement.
I'm not asking for them to come forward, I have agreed and stated those things
one way or the other in the past and I know several others that have as well.
Board members do you feel that these anonymous are enough?
Justin - Yes I feel their enough
Mike - I think they could be confirmed if that's what you as a board member are
requesting?
Becca - Are there any board members who feels they want them to come forward?
Chris N. - Is that in reference in going through one champion or the other, if
you had issues with one you wouldn't go to the one champion.
Devin - Things have been brought up verbally to Torrie, no meeting, but hey
lets talk about this and I got blown off.
Becca - Further discussion?
Devin - Anything else?
Philip - Down to 2 champions.
Chris - Champions are just issued another board vote. Anyone get a proxies vote
in writing by G?

Devin - what were the terms we did last time? Effective immediately?
Chris - Yes, a week to get the books.
Becca - Any counter points?
Chris - I brought mine up earlier
Devin - Anything to make any of these points non-valid?
Justin - Motion to vote

Becca - Right, Approval is to remove Torrie from the office of treasurer,

Devin - I don't know where Torrie is so could we do it in person a week from

Devin - Cessation of spending immediately, transference of ledgers in 1 working
week from todays date.
Justin - Are you taking it over Devin?
Devin - Yes.
