Don't try to directly convert in vb.net2005.First your project convert to vb.net2003 then it (vb.net2003 project) convert to vb.net2005. When your convert some errors will occur that is true but it easily cleared with in a minutes.
For eg if you use DAO object for database connectivity in VB where as in VB.net2005 use ADODB.
