Hmmm - I've had it running for some time with no problems - but I'm on Snow 
Leopard, your presumably on Lion (10.7.x).
Has anybody else done a clean install into Lion?

It should just run, you shouldn't even have to unzip it, it should download 
(assuming you used Safari), and you get a 'K3UtilityOSX_1_12_3_28' folder with 
the Elecraft K3 Utility and the Help folder, in it.
You just run the Utility and you should get the dialog asking if you want to 
run this for the first time (that comes from Apple OSX, not the app), and then 
it pops the app.

However, I didn't get a license agreement dialogue, but that might be because I 
already have a copy. You did download the Mac version, from 
http://www.elecraft.com/K3/software/K3UtilityOSX_1_12_3_28.zip ?
