Everything is configured as the default values of vmware 3...

Sorry I couldn't help you much.

I noticed some cases of keyboard grabbing disappearing when I opened another X session through gnome's apps>system tools > new login.
After I worked with it for a while I couldn't get back and work under the original X session.

But I wasn't running E back then... I guess it could be an X bug or a gnome bug. It has something to do with changing display number (Vmware runs as a different display in fs, same for a new login (not nested)).

what are your "key grab" or "mouse grab" settings in vmware ?

i have similar behavior but performing <ctrl> + <alt> doesn't seem to bring the keyboard back.
