The BoF sessions I've been to usually have a host starting a discussion and many people engaging in the discussion. Panels are run and moderated by a host as well, but the number of active participants is usually restricted to the invited people sitting on the panel. The audience can ask questions, of course, but the main idea is to have the panelists discuss a topic from various points of view. Overall, a panel is a lot more structured than a BoF and setup in advance, whereas a BoF often happens in OpenSpace sessions and is scheduled in an ad-hoc way.
