It shouldn't be a problem.  Exchange may hang for a little while when you
demote the DC until it finds the new one.

MSX2000 running on a DC, this server is the only DC server in a remote site
of our AD domain.

I am planning to create another DC move the roles to this one and demote the
old D, my goal let exchange to run on a member server (keep the same name),
do you think this process could damage the exchange operation?
