There should not be any gotchas. This is normally a very easy procedure. As always, make sure that you have a good backup, and for good measure, you may want to stop the Exchange services and run a full Offline back as well (just in case). Once you upgrade to Enterprise, re-apply the current service pack (and any patches) and you should be good to go.
