That's a reasonable solution.  But after thinking more about it, I think
maybe the better solution is to have them decommission their Exchange
server and just run all mail through us.  I don't think having their own
Exchange box is necessarily a plus in this case, since all mail either
does go through us or appears to anyway.

Can they send you a tape backup of the store once per week?  Surely that
would give you the ability to pull the store off of tape and put onto a
temp server if the need arose!

My company has an Exch2K3 setup.  We have a distant but associated
office, but not connected through AD - they're using an SBS2K server,
including Exchange server.  They pick up their mail from us already,
POP3 from our server to theirs - and they send mail using their own
server with a reply-to address of our domain.  But because of the nature
of the business
(financial) we need to be able to capture (journal) all mail coming out
of their server as well to satisfy SEC/NASD requirements.

One thing we've considered is to have them set up an SMTP connector to
send mail through our server, and we'd set up their server IP to have
relay rights, in order to get their mail to outside destinations.  But
even then, unless that outgoing mail hits the store, I'm still unsure
how to ensure that we capture a copy of it.  What would be a good method
for that?  Or should we ask them to decommission their own server and
just have everyone use POP3/SMTP on our server?
