IIS6, Shadow Copy, better security with IPSec between servers, HTTP outlook 2003 access. You would also have to patch the OS less often as there seems to be less exploits with 2003 then with 2000. I read somewhere that exchange 2003 also has multi-threaded exmerge so mailbox moves are quicker, etc.. Go for it.
