It doesn't touch the structure of the data pages as a prerequisite of
the upgrade completing.  The pages are updated and touched "lazily"
meaning they're updated as they're touched by the users or by
maintenance (online or offline) activities.  So the upgrade will
complete, then as the database is used over the next several hours,
days, weeks, months, it will get updated.

Exchange 2003 is more involved than a service pack, but it's been better
tested.

I don't like doing the first of a new version as an in place upgrade,
but I don't have a problem doing in place upgrades per-se.  I'll often
install a temporary system with the new version, then do the in place
upgrade, then remove the temporary system.

I'm also a real stickler for extra backups.  It doesn't hurt to also run
isinteg and/or eseutil after the backups to ensure there are no
lingering structural issues in the database.

So, it's mainly a Code update that doesn't touch the structure or tables
of the database?

We do Service packs, etc... without moving all the users to another
server, I'd actually consider an Inplace upgrade if we're just talking
about code.

Correction - it's dependent on the size because you have to do at least
one full backup.  I always do two - one online backup and one offline
backup.  The install itself is not size driven though.
