The problem is that it is on a domain controller. Literally. When you shut down the system, the Net Logon service stops before the Exchange services do. What happens is that Exchange then times out trying to query the domain controller, and the timeout period is 20 minutes (IIRC). The solution is to a) not install Exchange 2003 on a DC, or b) stop the Exchange services manually prior to shutdown.
