Sure.  Definitely another option to look at, but only if you have
another server available.  If you do have another server, it's probably
the better method, as it is less risky.

Not Good = depends on your view.  

I don't like doing "upgrades".  Operating Systems especially.  Your best
plan of action is to simply take a backup of Exchange (both online AND
offline), make sure that the backup is good, then format and rebuild the
server with Advanced, and restore your backup.  If you give the server
the same name (why wouldn't you...), you should be able to run Exchange
setup /disasterrecovery and have it glean all it's info out of Active
Directory.
The Disaster Recovery Whitepaper should be a great friend during this
part.

There is no upgrade path from W2K Standard to Advanced Server.  You have
to rebuild.
