I suppose that's open to interpretation but I think it's accepted that
Exchange is down when the IS is down, ie you can't access your mail.
However, I think there is a case for saying that the server is not fully
functioning when, for example, mail is not flowing.  It's up to each
organisation to decide on what they call "uptime".

Hand-written reporting sounds good because a user intuitively knows when
Exchange is down. Exchange has alot of parts, so how would a system
determine when it is down?

For databases we run queries to make sure the database is responding. If
you monitor the Exchange IS service, does that mean Exchange is up?

Agreed.  However, the original question seems a little confusing.

Orin, do you want to monitor uptime statistics, or do you want real-time
notification of failure?  For the former, the MS uptime tool and a
hand-written log work great.  For the latter, there are many on the
market.  I prefer IPMonitor.

All those pricey tools are fine for this but equally good is a
spiral-bound server log into which you write down when the servers go
down and come up.
Your outages should be so infrequent that you shouldn't be getting
writer's cramp.
