The optimizer was the key. It is actually a bug that was first corrected in SP3 I believe. The problem is when you run a pre-SP3 optimizer on a machine that has 800MB+, it sets the parameters incorrectly and Exchange believes that it can allocate more memory than is available (See Q195006 for details). Perfwiz SP3 and up actually correct this behavior. Another good reason to run perfwiz after every SP upgrade.
