Your Exchange 2000 server CANNOT be in your NT 4.0 domain because it must be in an Active Directory domain.
I can tell that this question is just the beginning of a long series of questions. I advise you to pick up a good Exchange 2000 book like Tony Redmond's and start reading, because you have a lot of necessary foundation work.
