You don't have to be in native mode to do the install of E2K but you will need a native mode domain to host any DLs that are being used to access public folders.
You state that you will be installing into the same 5.5 org so presumably you will be using the ADC to populate AD. When you do that DLs will be brought over as universal distribution groups. If the DLs are used to access public folders they will need to be converted to universal security groups. This is done automatically, but only if they are in a native mode domain.
