(a) On the Task Manager - CPU is 100%.  
(b) The physical memory is as follows:
    Total 392Mb
    Avail 110-112Mb
    File Cache 26Mb
(c) Stopping and starting helps, but then it creeps right back up to 100%
(d) Exchange 5.5 sp3 and post 6a security rollup.
