A summary :-

After a number of irritating chats with MS...it appears the two  "official" 
answers are :- 

A)  Upgrade to SBS2000  which requires a move to a new machine and then 
upgrade the old machine to win2000 and cross your fingers that the legacy 
apps will still work. This however would only work in the short term as SBS 
2000 still has many of the same limitations as SBS 4.5

B)

1) Upgrade to Back Office  (requires purchase of SBS -> BO upgrade licence)

2) Install Exchange on new machine (now no site connector / replication 
restrictions but  requires additional Exchange 5.5 license)

3)  Use the Move Server Wizard

4)  Remove first  server

However,  I have discovered a couple of people who have had nightmares with 
this procedure (in the actual upgrade of SBS Exchange to Back Office exchange 
portion) and one MVP flat out recommended avoiding this solution like the 
plague, so exmerge is chugging along :-(  75 mailboxes 11gb.......  
hohum.....
