We did an inplace upgrade recently which worked pretty well.  Had a few
issues, but got them worked out in reasonably quick fashion.

Some things that we did.

1) Made sure AD was functioning smoothly before adding the first MS Exchange
2000 server.  Make sure you Domain Controllers are stable and that their are
no hardware problems (we had one of our dc's come down with a bad hard drive
after we had migrated the site - ended up rebuilding it from the ground up).

2) Installed the ADC and made sure there were no visible errors in the Event
Logs.

3) Once we were satisfied here we installed the first Exchange server in our
production site (yes we did testing on the install procedure in our test
environment first).

4) After the server was installed and stable we migrated all the users from
the production 5.5 server over to the Exchange 2000 server.  Note: each 5.5
server was the first and only server in the site so we migrated all
connectors, Schedule Free Busy, and any Public Folders over to the new
Exchange 2000 server.  Read the KB articles on removing the first server in
site.

5) Once everything has been migrated check for replication and that mail is
passing before going on to the next site.

6) Continue this process until all sites are migrated.

We are currently running in mixed mode so we can't remove the ADC yet, but
we are working on it as quickly as the customer will allow.
