Same thing happened to me 2 weeks ago. Are you upgrading to 2000 or to 5.5 Enterprise? If just the Enterprise edition, it's very quick and painless. Just make sure you have a solid backup and your TechNet handy in case you run into a little snag like we did with Q233219.
