We recently moved 40 Win2k/Exchange 5.5 member servers from an NT4 domain to
AD and suffered zero adverse effects.  I'll assume your Exchange server is a
member server.   (If your Exchange server is a DC, sheez, I'll have to
defer.  It would involve a lot more than a domain change, and I don't think
it would be pretty.)

If your Exchange services are already running under an AD account (via
trust), then it should just be a matter of changing the domain membership of
the mail server(s) and rebooting.

If your Exchange services are running under an NT4 domain account, it is
still just a matter of changing the domain membership and rebooting, but you
will eventually need change the Exchange service account to an AD account
before the NT4 domain is collapsed. (See link for changing service account.
I assume you know the potential hazards of changing this account.)  It
should not matter if you move the Exchange server(s) to the AD before or
after Exchange is running under the new service account, but I would only
make one change at a time (domain membership or service account). 
  

In either case, make sure the service account is a member of the local admin
group on the Exchange server once the domain move is complete, before the
Exchange services are started.  Believe it or not, on some servers, we were
able to start all Exchange services without the service account being in the
local admin group.  We didn't catch the problem until the backups failed.
Also, ensure that your Exchange server(s) DNS settings/entries are correct
once the move is complete, especially if you have multiple Exchange servers.

You could also migrate the service account and Exchange server to the AD
using an AD migration tool of some 3P vendor.
