Offline addrss book generates fine. This was the first step I attempted. I
have even went in and turned on every diagnostic level to maximum and can
find no errors. AAARRRRGGGGGHHHHHHH!!!!!!!!!!

Replication between the sites would be your problem most likely.  Seen
it numerous times before...

Have you seen any errors in the event log about "Generating the Offline
Address Book"?

We are currently running Exchange 5.5 with a mix of SP4 and SP3. 

Yes some users work fine, others dont. This appears to be site specific.
We have 17 sites and about half of them are working.

I was leaning torwards a permissions issue as we have had some problems
with not all users showing up in the address book although all entries
show in teh GAL through the Exg Admin program. This we had to resolve by
granting the \Everyone group Search rights at the organization and the
Site level.

That's almost always a permission or other access thing.

1) what Exchange version? sp?
2) users?  some work ok?

We have users that when they try to download the Offline Address book
they receive an error in the synchronization log of

xx:xx:xx Microsoft Exchange offline address book
xx:xx:xx             0x80004005

The xx is the time the download was attempted.

Any suggestions?
