I am not sure how this is going to help me? I just want exim to deliver the 
mail to another address if the header says : "X-Spam-Flag:YES". I can do this 
with .forward if users have mail boxes on the server. But how can I do this 
when all mails are forwarded to the exchange server ?

I would use a dedicated router for that delivery, or investigate the content 
scanner feature of exim which allows much more fine-grained selection of 
messages.
