It's tight, IMHO. The machine we're using is a PII350 with 128MB; I
plan to add some more memory when prices go down again (I'm an
optimist, I guess :-)). I'd say your machine should be OK, but not
great.

You won't be able to burn CDs through vmware at this point. Their web
site says that they are planning to support it in the future, but for
now, no luck. It's rather easy to burn CDs from linux though, although
multi-session CD's are still a bit of a pain.
