If I understood the previous posts, this happened in Canada, so U.S. 
laws wouldn't comply.

But even if it were in the U.S. I wonder if privately-solicited 
venture capital has to comply with laws for publicly-solicited funds.

For example, if you go, privately, to a bunch of friends and ask for 
money, I don't think you have to comply with anything (other than 
not lying or committing fraud, as would usually be the case).
