Acquisition Expands Product Line and Strengthens Efficient's Move

Santa Clara, CAALLAS (March 28, 2000) NetScreen Technologies, Inc., a
privately held
company based in Santa Clara, California, announced today that
Efficient Networks, Inc.
(Nasdaq: EFNT), a worldwide developer and supplier of high-speed
digital subscriber line
(DSL) customer premises equipment (CPE) for the broadband access
market, has signed a
definitive agreement to acquire the broadband internet security
system and appliance
company.
NetScreen Technologies is a leading developer of high performance
Internet security
products. NetScreen's ASIC-based products integrate wire-speed
firewall, Virtual Private
Network (VPN) and traffic-shaping features and are used by
e-businesses, enterprises and
web hosting and service providers.
Under terms of the agreement, which was approved by the boards of
directors of both
companies, Efficient will issue approximately 5.28 million shares of
Efficient common stock
in exchange for all of the outstanding stock and options of NetScreen
Technologies. Based
on the March 27, 2000 closing stock price for Efficient, the
transaction has an implied
value of approximately $905 million. Upon completion of the
transaction, NetScreen
shareholders and employees will own approximately 8% of the combined
company on a
fully diluted basis. NetScreen has an annualized revenue run rate of
$22 million based on
the expectations for the quarter ending March 31, 2000. NetScreen
currently has 125
employees.
The transaction, which is expected to be completed late in
Efficient's fourth fiscal quarter
ending June 30, 2000, will be accounted for as a purchase and is
intended to qualify as a
tax-free reorganization. Efficient expects the merger to be additive
to revenue per share.
Efficient also announced that Robert Thomas, chief executive officer
of NetScreen, will
oversee the integration of the two companies, while assuming the
position of president
and chief operating officer of Efficient. "We are very excited about
the opportunity to join
forces with Efficient," said Robert Thomas, chief executive officer
of NetScreen. "As more
content moves to web hosting centers and e-commerce sites, security
combined with high
performance is increasingly in demand. We will now combine our
efforts to develop
leading-edge products for broadband networking," he said.
"Combining high performance security products with high performance
DSL access
equipment is a natural fit," said Mark Floyd, chairman, president and
chief executive officer
of Efficient. "Efficient will benefit immediately by expanding our
solution set to include
NetScreen security devices. We will deliver speed, security and
value," he said.
The companies anticipate that NetScreen's management and employees
will remain with
Efficient following the transaction and manage the former NetScreen
operations as a
business unit of Efficient.
Both Efficient and NetScreen will continue to market, sell and
service their current product
lines. In addition, because Efficient and NetScreen each own
significant intellectual
property and have extensive hardware and software capabilities, the
combination of
technologies is expected to result in the introduction of new
networking products and
applications that combine NetScreen's security technology and
Efficient's DSL technology.

encryption
acceleration engine available capable of handling 1 Gbps throughput,
500,000 concurrent

Greetings.
I am looking at firewall systems for one of our proposed new networks.
Speed/throughput is extremely important and I don't think that FW-1 is
going
to make the grade. I am looking at PIX's and also at a PIX competitor
called
NetScreen. I went out to their offices last week for a demo and liked what
I
saw. They claim to have some of the original PIX architects on their staff
and claim to have exceeded the PIX's capabilities at 1/3 the price.
So, okay, the sales guy got to have his say. Any of you folks out there
running these things? Any stories, good or bad?
