Benefits to migrating it to AS3 would be increased performance with the AVM2, as well as future maintenance ease given you'll be taking advantage of many of the features AS3 has to offer over AS2. You'd likely redesign some architecture too, making improvements. But as others have said, it may not be worth it - it depends on how much work is involved (sometimes its better to scrap the old version and start over with AS3), and what the long term maintenance update plan is like.
