You have to set minHeight="0" minWidth="0"
It works this way:

    <mx:Panel width="100%" height="100%" minHeight="0" minWidth="0">

        <mx:ControlBar width="100%" height="50"></mx:ControlBar>
    </mx:Panel>
</mx:Application>
