Couple of quick (if dumb) questions...

1) You are writing to a different output folder aren't you? I've seen
some confusion over prj files when reading/writing the same folder.

2) Which version of FME are you using? If it's a beta try 2006GB. 

3) Is the coordinate system you're trying to write supported by ESRI?
If not (or FME just doesn't know about it) then I can imagine it not
writing a prj. 
Check if it's listed in the <fme install>/reproject/exceptions folder
