What kind of organisation is Wikimedia Brazil? Do members not have legal rights? The way the new Wikimedia UK is being set up, if the members weren't happy with the way it was being run they could demand a general meeting and elect a new board (and if the current board refused to comply the members could take legal action). Is there no equivalent for the way you are set up? Or is the problem that a majority of members, not just the board, are non-Wikimedians?
