I've set up in a my other environment (more or less according to your decription) and it still doesnt work..

only difference is that I use the isc-dhcpd server
and tftp from /etc/inetd.conf

If you're booting from a real network, load the VirtualBox network kernel modules on the host and set the network to Bridged Adapter. It must be PCnet-PCI II (Am79C970A). Others don't have a boot ROM.
