So, after installing the 32bit version of gcc-devel as per Doug's suggestion
I managed to install OFED-1.2 on RHEL5.

Now the bigger question is, can we get release notes on OFED_1.2 to say it 
requires
32 bit version of gcc-devel, as RHEL5 for X86_64 does not come with it?
