I'm guessing you've emerged gentoo-sources at some time in the past? If so, emerge 
wants to install a newer version because of a security flaw in 2.4.20-r5 and below. 
emerge isn't smart enough to realise that you're not actually *using* gentoo-sources 
-- it just sees that it's been installed at some point and wants to do the upgrade...
