No, the new utils will check what kernel is running and transparently call the old ones if it's 2.4 or earlier.

Do you have up-to-date module-init-tools? Module loading will otherwise fail. The old tools (modprobe, insmod, rmmod, lsmod) must be renamed to xxx.old because they will be invoked when booting pre-2.6. Also, some modules have been renamed, so you will have to provide an adjusted /etc/modprobe.conf. Best check /var/log/messages to see *what* exactly fails (for me it was e.g. psmouse which was previously called mousedev).
