The Company should be in the business of manufacturing of Pharma API Products. Business Interest • The products of the target company should be multi-purpose API drugs. • The Acquirer is not interested in formulation business. • The Target Company should be an existing, running unit. It should not be a sick or closed unit. If the unit is distressed only due to financial problems, Acquirer may consider. • The Acquirer is interested in acquiring the business along with the necessary Infrastructure - Land, Building and Plant & Machinery). But if only infrastructure is available without business, it is of no interest. • First Preference : The target unit should be located within Gujarat. Location of Manufacturing Unit • Second Preference : The target unit can be anywhere in India. • The Production Capacity of target unit should be around 70 - 120 MT per month • The Unit should have GMP level approval. Infrastructure Requirements• The Unit should have FDA approval. (This is Optional) • The enterprise value of the target company could be in the range of Rs. 50 Crores to Rs.150 Crores (preferred). Size of Acquisition • First Preference : The acquiring company is looking for super majority (75%) or entire stake (100%) in the Target Company.Stake in the Target Company • Second Preference : The acquiring company would also be comfortable with majority stake (51%) in the target company subject to entering into a suitable Joint Venture arrangement with target company. • In case of Super Majority (75%) or Entire (100%) Stake, the management of Target Company should continue to work with the acquiring company for a minimum period, to be decided in due course.
