I had this problem once. I edit the grass.bat and modified the line

PATH=/usr/local/bin:/usr/local/sqlite/bin:/usr/local/tcl- 
tk/bin:/usr/local/pgsql/lib: PATH

I think maybe you should modify PATH to include the directory that contain 
g.proj.exe.
