More likely than not you have an old version of Dropbox that is
repeatedly installing Growl into ~/Library/PreferencePanes.  Which is
the entirely wrong location, Growl should be installed to /Library/
PreferencePanes.  So in addition to installing Growl 1.2.2, I'd
recommend going to the dropbox site and downloading the latest version
(they lack an in-app update mechanism).
