With the hope of moving forward the issue of a Habari entity, I've
created a page on the wiki for Habary bylaws[1]. All I've done is
copied the amendments article from the ASF bylaws[2]. Disclaimer: I
know nothing about any of this stuff, and I may have made incorrect
assumptions about what's required.

I'll use the ASF bylaws as a starting point for discussion about what
bylaws might be appropriate for us. These seem to have served the ASF
pretty well for a decade. How much can we simply reuse?

Articles I (Business Offices) and II (Registered Offices and
Registered Agents) probably depend on where we file. Delaware seems to
be the popular choice.

Articles IV (Members), V (Directors), and VI (Officers) define the
structure of the corporation. Should all the PMC be directors or a
subset be directors and the remainder members? What officers do we
need, as a minimum?

Article III (Meetings of Members) is about physical meetings. This
probably isn't going to be appropriate for us. It does talk about
voting and who has a vote.

Articles VII (Books and Records) and XIII (General Provisions) are
about practicalities. What records do we need to keep? Obviously we
want to keep this to a minimum. Who is going to do this? Pretty key
question, that one.

Article VIII (Nonprofit Status) is something people have talked about
wanting. What are the benefits? Reduced reporting requirements?

Article IX (Corporate Seal) is ... huh?

Article X (Amendment) is the one I've copied to the wiki page, and
seems pretty sensible.

Articles (Limits on Liability of Directors) and (Indemnification of
Officers and Directors) go to one of the main points we need to
address, limiting the liability of the Habari community.
