The server does not have a firewall. Do not have one that will run on W2KServer.
I'll read the link sent and see if there is something else I missed.  I did 
read the faqs link 
from the error page. It shows a table of WinUpdate supported sw.  I noticed 
that W2KServer 
was not present. Hmm.

I do have the latest root certificate for MS on this machine (got it 
yesterday), 
but, do not know how to copy/transfer it to the server.  Can certs be swapped 
back and forth even?
