There used to be a VNC vulnerability a long time ago and hackers that
exploited it would connect to vulnerable VNC servers and then execute
commands such as FTP to download trojans and such. If you have VNC or other
remote software, make sure it is up to date and lock it down by limiting the
IP addresses that can connect.

/system32/ftp.exe is part of windows, but i'd be concerned if it's trying to
connect to stuff and you haven't told it to.
