fyi to anyone who cares. I think I figured it out. When I ran the installer, it found my existing 1.5 Retail install, and wanted to know if it should keep my old files or not. Seeing as the option to NOT keep backups was recommended, I chose it. That appears the be the mistake because as soon as I told it to make a backup, the installer worked (second time .. first was yesterday morning).
Also of note is the installer both times found a third-party mod called "Half-Life DeathMatch" (not Deathmatch Classic), and converted it as such.
