regarding modem, 
the steps are 
issue the lspci command
you have a HCF/HSF modem (probably) - the lspci command will report that
if it's a HCF modem go to
http://www.mbsi.ca/cnxtlindrv/hcf/downloads.html
and download the hcfpcimodem-0.98mbsibeta02090200.tar.gz, and
riptide-0.4mbsibeta02090100.tar.gz from the same site
if it is a HSF modem, just download 
http://www.mbsi.ca/cnxtlindrv/hsf/archive/hsflinmodem-5.03.03.L3mbsibeta02093000/hsflinmodem-5.03.03.L3mbsibeta02093000.tar.gz

PS: regarding gcc 3.2, i did have problems compiling my pctel drivers,
but finally hacking the Makefile worked
