it's almost always bad RAM. try removing one of your RAM chips and try 
again... and if it happens again, swap them and try again. if it STILL 
happens, you might have a bad processor card or logic board.

I would suggest one more step in the RAM troubleshooting: if after swapping the RAM 
cards and it still freezes, try your original RAM from Apple...or better yet, put your 
original RAM in right away, after removing all RAM upgrade cards, and see if it still 
freezes.  There were numerous threads on www.macintouch.com, under their 10.2 and Bad 
RAM  user reports pages, of 10.2 installation, freezes, kernel panics, 
gray-screens-of-death, and such that were ultimately traced to RAM.  It seems that 
10.2 makes a greater utilization of RAM than 9.2 ever did, and RAM that would work 
with 9.2 simply would not work with 10.2.  The solutions generally were to replace the 
"bad" RAM with RAM from reputable sellers who would provide an exchange in case 
further RAM problems developed.  I very much doubt that you have a bad processor or 
logic board, especially if you can still boot into OS 9.

One other remote possibility: do you have any buss-powered USB devices attached, or a 
number of USB devices?  These critters can often cause system freezes.
