I had something similar happen the other day. I had 2 win2k machines that had similar issues after installing several Win updates last week. (SP4 had already been installed) It turned out to be an older version of APC's Powerchute UPS software. (Listed as pbeagent.exe under task manager and I could not kill the process). I booted in to safe mode, removed the software, rebooted and Win2k was happy again!
