MSCS with server 2003 no longer requires a shared quorum drive, if that is your only hangup with mscs. I have not done it, but you can set the cluster up as a majority node set.
How are you going to replicate all the mailboxes? I use some replication software for web servers, but wouldn't trust it with anything as real time and frequently changed as the mailboxes.
