Just went through this process myself. I bought a new box, added 2003 server and all the OS updates and then installed 8.22. There is a KB on moving your data to a new box at the same version, http://support.ipswitch.com/kb/IM-19980116-JB11.htm
I made sure the IMail service worked properly and then installed the newest version of 2006 and it worked like a charm. Tried an earlier version of 2006 on my production mail server and it did not go well at all.
