Been there done that!
This is my first NT server I have dealt with and its been a learning
experience not using sendmail.
I had to start from scratch with a cgi script and form, its working but I
have not been successful so far in using a confirmation email before actual
subscription to a list.

Try installing it in your cgi-bin directory...  It doesn't *have* to be in
the \winnt\system32 folder.
