I would do one upgrade at a time.  Start by upgrading the IMail to 7, convert the mailboxes during the upgrade, then transfer the IMail registry and user folders to the W2k machine.  Finish by installing the declude stuff.  Also, I agree with Terrance, two AV on one machine is asking for trouble.   Good luck!
